Caroline Beasley

Chair and Chief Executive Officer, Beasley Media Group

Caroline Beasley serves as Chief Executive Officer of Beasley Media Group and is the Chair of the company’s Board of Directors.

The media executive is the immediate past Chair of the BMI Board of Directors, is a member of the Federal Communications Committee (FCC) Diversity and Inclusion Committee, is a former Joint Board Chair of the National Association of Broadcasters (NAB) Board of Directors and is a past Chairman of the NAB Radio Board.

In addition, she currently serves as a member of the Broadcasters Foundation of America (BFOA) Board of Directors and the National Association of Broadcasters Leadership Foundation (NABLF).

Ms. Beasley has been consistently ranked on an annual basis among the top five of Radio Ink magazine’s “40 Most Powerful People in Radio” list. In addition, she has been featured among the magazine’s “Most Influential Women in Radio” on an annual basis since 2003.

Among her many industry accolades, Ms. Beasley was inducted into the Broadcasting and Cable Hall of Fame in May 2023 and was among the “Giants of American Broadcasting” by the Library of American Broadcasting in November of 2023.

In addition, she received the prestigious NAB “National Radio Award” in April 2022 for her outstanding contributions in the radio industry. In 2019, she received the “Horizon Award” for her vision and industry leadership during the Media Institute’s Free Speech Gala. In 2017, she was recognized by Radio Ink magazine as “Radio Executive of the Year”. Ms. Beasley received the 2016 “Distinguished Service Award” from the North Carolina Association of Broadcasters

She was honored with the 2012 recipient of the “Frances Preston Trailblazer Award” from the Mentoring and Inspiring Women in Radio Group (MIW), a national organization dedicated to promoting the advancement of women to senior positions in the radio industry.

Ms. Beasley earned a B.S. degree from the University of North Carolina.

Bruce G. Beasley

President, Beasley Media Group

Bruce G. Beasley has served as Beasley Broadcast Group, Inc.’s President since 1997, Chief Operating Officer from 2006 through 2016, Co-Chief Operating Officer from February 2001 until February 2006, and as a Director of Beasley Broadcast Group, Inc. since 1980. He began his career in the broadcasting business with the Company in 1975 and since that time has served in various capacities, including General Sales Manager of a radio station, General Manager of a radio station and Vice President of Operations of the Company. Mr. Beasley serves on the Board of Directors of the Radio Advertising Bureau. Mr. Beasley has a B.S. from East Carolina University. Mr. Beasley has extensive knowledge of the radio broadcast industry gained through his service at all levels of employment with the Company, from station sales manager to his current position as President.

Peter A. Bordes, Jr.

CEO, Collective Audience and Managing Partner,  Trajectory Ventures

Peter A. Bordes, Jr. has been an independent director of Beasley Broadcast Group, Inc. since November 2016. Mr. Bordes was one of the owners of Greater Media, Inc., where he served as a member of its Board of Directors from 2008 until October 2016.  He is a co-founder of oneQube and been its Chief Executive Officer since 2011. Prior to founding oneQube, Mr. Bordes was the Chief Executive Officer of MediaTrust from 2008 to 2011.  He has served as a director of PeekYou LLC since 2010 and as a director of OCEARCH since 2014. Mr. Bordes has been involved during much of his career in the banking and venture capital industries. His qualifications for election to the Board of Directors include his years of service on the Board of Directors of Greater Media, Inc., as well as his involvement in media and capital venture entities.

Michael J. Fiorile

Past Chair and CEO, The Dispatch Company

Michael J. Fiorile was appointed to the Board of Directors of Beasley Broadcast Group, Inc. on January 23, 2018. He has served as Chairman of The Dispatch Printing Company, a privately owned, regional broadcast media and real estate company, since July 2016. Prior to his retirement in November of 2019 from his role as the Chief Executive Officer of The Dispatch Printing Company, Mr. Fiorile served as the company’s Vice Chairman and Chief Executive Officer from September 2015 until July 2016; as its President and Chief Executive Officer from January 2013 until September 2015; as its President and COO from January 2008 until January 2013; and as its President from January 2005 until January 2008. He has also served as Chairman and Chief Executive Officer of Dispatch Broadcast Group, which includes television and radio stations, since July 2016. He has held several executive positions within Dispatch Broadcast Group since 1994.  Mr. Fiorile has also been a director of State Auto Mutual Insurance Companies since 2003.  He has been a director of State Auto Financial Corporation (NASDAQ STFC) since 2015, where he serves as Chair of the Nominating and Governance Committee and Chair of the Risk Committee.  Mr. Fiorile serves on the Board of Directors of BMI and was elected as Chairman of its Board in 2017, having previously served on its Executive, Finance and Budget and Compensation Committees and as the Chairperson of the Audit Committee. He is currently Chairperson of the Audit Committee for the National Association of Broadcasters. Mr. Fiorile’s qualifications for election to the Board of Directors include his extensive knowledge of the media industry and significant executive management experience gained through his service as senior executive and chief executive officer of media companies.

Leslie V. Godridge

Retired Vice Chair, US Bank

Leslie Godridge, has been an independent director of Beasley Broadcast Group, Inc. since May 2020. Ms. Godridge retired on June 30, 2020 as vice chairman and co-head of corporate & commercial banking at U.S. Bancorp where she served on the Managing Committee and on U.S. Bank, N.A.’s Board of Directors.  She has held both of these positions since January 2016. Ms. Godridge originally joined U.S. Bancorp in 2007 and has held various other positions at the bank since then.  Before joining U.S. Bancorp, Ms. Godridge worked for The Bank of New York from 1981 to 2006, where she reported to the CEO as a Senior Executive Vice President and a member of its Executive Committee, among other positions. Since 2006, Ms. Godridge has served as Assistant Treasurer, Co-chair of the Finance & Budget Committee as well as Trustee and member of the Executive, Development and Investment Committees for the Museum of the City of New York. Until June 30, 2020 she was a member of the Executive, Audit, and Board Development Committees of Junior Achievement of New York. She is a repeat honoree for American Banker’s annual Most Powerful Women in Banking. Ms. Godridge earned an MBA from New York University, Leonard N. Stern School of Business. Ms. Godridge’s qualifications for election to the Board of Directors include her extensive finance and regulatory knowledge and significant management experience gained through her senior executive positions at financial institutions. Ms. Godridge is a Director of M&T Bank based in Buffalo, New York.

Sen. Gordon H. Smith

Past President & CEO, National Association of Broadcasters (NAB)

Sen. Gordon H. Smith, former National Association of Broadcasters (NAB) President and Chief Executive Officer Senator Gordon H. Smith was appointed to the Beasley Media Group Board of Directors in May of 2022.

Sen. Smith joined the National Association of Broadcasters as President and CEO in November 2009 and served for over a decade working on behalf of the radio and television industry until his transition to the role of special advisor at the NAB at the end of 2021. During Sen. Gordon H. Smith’s tenure, NAB played a pivotal role on a number of significant issues affecting radio broadcasters, including the preservation and modernization of the music licensing and copyright system, and reviews of media ownership rules.

Prior to joining NAB, Sen. Smith served as a two-term U.S. senator from Oregon and later as senior advisor in the Washington offices of Covington & Burling, LLP. During his tenure in the U.S. Senate, Sen. Smith’s committee assignments included the Senate Commerce, Science and Transportation Committee, the panel that oversees all broadcast-related legislation and has Federal Communications Commission oversight responsibilities. Sen. Smith also served on the Senate Energy and Natural Resources Committee, the Senate Finance Committee and the Senate Foreign Relations Committee. Sen. Smith’s role on the Commerce Committee and as chairman of a Senate High Tech Task Force helped foster his interest in new media and new technology issues.

Born in Pendleton, Ore., Sen. Smith attended college at Brigham Young University, received his law degree from Southwestern University School of Law in Los Angeles, and practiced law in New Mexico and Arizona before returning to Oregon to direct the family-owned Smith Frozen Foods business in Weston, Ore. Before his election to the U.S. Senate in 1996, Sen. Smith was elected to the Oregon State Senate, rising to the position of president of that body after only three years. He currently serves on the board of Host Hotels & Resorts, Inc.

Charles M. Warfield, Jr.

Past President & COO, ICBC Broadcast Holdings, Inc.

Charles M. Warfield, Jr., has more than 40 years of experience in the broadcast and media industry. He currently serves on the National Association of Broadcaster (“NAB”) Investment Committee. From 2000-2012, he held senior positions, including President and Chief Operating Officer, at ICBC Broadcast Holdings, Inc. (“ICBC”). In August 2011, an involuntary petition under Chapter 11 of the Bankruptcy Code was filed against ICBC in the United States Bankruptcy Court for the Southern District of New York, culminating with the acquisition of ICBC by YMF Media, LLC in 2012. Mr. Warfield served as President and Chief Operating Officer of YMF Media, LLC until 2014. Between 2013-2015, Mr. Warfield served as Joint Board Chairman on the Board of Directors of NAB. Previously, he served as Chairman of the Radio Executive Committee of the NAB Radio Board of Directors and as a member of the NAB Education Foundation Board. Mr. Warfield has frequently been recognized for his leadership in the radio broadcast industry, including being named Radio Executive of the Year in 2009 by Radio Ink Magazine, receiving the 2010 National Radio Award from the NAB, and being inducted into the New York State Broadcasters Hall of Fame in 2015. Mr. Warfield earned a B.S. degree in accounting from Hampton University. Mr. Warfield’s qualifications for election to the Board of Directors include his invaluable experience and significant success in the broadcast and media industry.
